1. Introduction

These Terms and Conditions ("Terms") govern your use of the website https://ibrainlabs.com/, the services provided by iBrainLabs ("iBrainLabs", "we", "us" or "our"), and our software products, including OneAmple, a WhatsApp Cloud API platform developed and operated by iBrainLabs.

By accessing our website, signing up for OneAmple or engaging our services, you agree to these Terms. If you do not agree, please do not use our website, products or services.

If you use our services on behalf of a business, you confirm that you are authorized to accept these Terms for that business.

2. Our Services

iBrainLabs provides digital services including website development, app development, SaaS product development, digital marketing, performance marketing, local SEO and Google Business Profile management, social media marketing, content creation, video editing and AI automation.

The scope, deliverables, timelines and fees for client projects are agreed separately in a proposal, quotation, invoice or written agreement. If there is a conflict between that document and these Terms, the project document will apply for that project.

3. Eligibility and Accounts

• You must be at least 18 years old and able to enter into a legally binding contract to use our services.
• You must provide accurate and complete information when creating an account or engaging our services, and keep it up to date.
• You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately at info@ibrainlabs.com if you suspect unauthorized use.

4. OneAmple Platform Terms

OneAmple lets businesses connect their WhatsApp Business, Facebook and Instagram accounts to send and receive messages, manage message templates, contacts and leads through Meta's official APIs.

4.1 Meta and WhatsApp policies

By using OneAmple, you agree to comply with the Meta Platform Terms, the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, as updated by Meta from time to time. Meta may restrict, suspend or remove your WhatsApp Business account or phone number for policy violations; iBrainLabs is not responsible for actions taken by Meta.

4.2 Your responsibilities

• You must obtain valid opt-in consent from your customers before sending them WhatsApp messages, and honor opt-out requests promptly.
• You are responsible for the content of messages, templates and media you send through OneAmple.
• You must not send spam, unsolicited bulk messages, misleading, illegal, harmful, abusive or offensive content, or content that infringes anyone's rights.
• You must not use OneAmple for any product or service prohibited by Meta or by applicable law.
• You are responsible for complying with data protection laws that apply to your customers' personal information.

4.3 Meta conversation charges

WhatsApp messaging charges set by Meta are separate from OneAmple subscription fees, unless your plan clearly says otherwise. These charges are billed according to Meta's pricing and may change at any time.

4.4 Service availability

We aim to keep OneAmple available and reliable, but we do not guarantee uninterrupted or error-free service. The platform depends on third-party services, including Meta's APIs and hosting providers, and may be affected by their downtime, changes or limits. We may perform maintenance, updates or changes to features from time to time.

5. Fees, Payments and Refunds

• Fees for client projects are as stated in the agreed quotation or invoice. Unless agreed otherwise, an advance payment is required before work begins, and the balance is due on or before delivery.
• OneAmple subscription fees are payable in advance for each billing period according to the plan you choose.
• All fees are in Indian Rupees (INR) unless stated otherwise, and are exclusive of applicable taxes such as GST.
• Late or missed payments may lead to work being paused, or access to OneAmple being suspended, until payment is received.
• Advance payments for project work that has already started are non-refundable. OneAmple subscription fees for a billing period that has already started are non-refundable, unless required by law or agreed in writing.
• Third-party costs paid on your behalf, such as ad spend, domain, hosting, software licences or Meta charges, are non-refundable.

6. Client Responsibilities for Projects

• Provide content, feedback, approvals, logins and other materials needed for the project on time. Delays in providing these may extend timelines.
• Confirm that you own or have permission to use any logos, images, text and other materials you give us.
• Review and approve deliverables within a reasonable time. Changes requested after approval, or outside the agreed scope, may be charged separately.

7. Marketing and Advertising Results

We use our best skills and effort on every campaign, but results from SEO, advertising, social media and other marketing depend on many factors outside our control, such as search engine and platform algorithms, competition and market conditions. We do not guarantee specific rankings, traffic, leads, sales or return on investment.

Advertising budgets are paid to the ad platforms (such as Google or Meta) and are separate from our service fees.

8. Intellectual Property

• All content on our website, and the OneAmple software, design, code and branding, are owned by iBrainLabs and protected by applicable intellectual property laws. You may not copy, modify, resell or reverse-engineer them without our written permission.
• For client projects, ownership of the final approved deliverables passes to the client after full payment, unless agreed otherwise. Third-party assets such as themes, plugins, fonts and stock media remain subject to their own licences.
• We may show completed work in our portfolio and marketing, unless you ask us in writing not to.
• Content and data you upload to OneAmple remain yours. You give us permission to process them only to provide the service.

9. Acceptable Use

You agree not to:

• Use our website, products or services for any unlawful or fraudulent purpose.
• Attempt to gain unauthorized access to our systems, other users' accounts or data.
• Upload viruses, malicious code or anything that may harm our systems or users.
• Interfere with or disrupt the operation of our website or OneAmple.
• Resell, sublicense or share access to OneAmple without our written permission.

10. Privacy

Your use of our website, products and services is also governed by our Privacy Policy, which explains how we collect, use and protect your information. To request deletion of your data, see our Data Deletion Instructions.

11. Third-Party Services and Links

Our services may integrate with or link to third-party services, including Meta (Facebook, Instagram, WhatsApp), Google, payment providers and hosting providers. We are not responsible for the content, policies, availability or actions of these third parties. Your use of them is subject to their own terms.

12. Suspension and Termination

• You may stop using OneAmple at any time by contacting us at info@ibrainlabs.com. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate your access, with or without notice, if you breach these Terms, misuse our services, fail to pay fees, or if required by Meta or by law.
• On termination, your right to use OneAmple ends. We will handle your data as described in our Privacy Policy and Data Deletion Instructions.

13. Disclaimer

Our website, products and services are provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law, iBrainLabs will not be liable for any indirect, incidental, special or consequential losses, including loss of profits, revenue, data, business or goodwill, arising from your use of our website, products or services.

Our total liability for any claim relating to our services is limited to the amount you paid us for the specific service in the three (3) months before the claim arose.

15. Indemnity

You agree to indemnify and hold iBrainLabs harmless from any claims, losses, damages and expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of our services, the content you send through OneAmple, or your violation of any law or third-party rights, including Meta's policies.

16. Governing Law and Disputes

These Terms are governed by the laws of India. We will first try to resolve any dispute through friendly discussion. If it cannot be resolved, the courts in Hyderabad, Telangana will have exclusive jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last Updated" date. Continued use of our website, products or services after changes means you accept the updated Terms.
